Loud Lion LLC

These Terms of Use ("Terms") govern your access to and use of loud-lion.com (the "Site"), operated by Loud Lion LLC ("Loud Lion LLC," "we," "us," or "our"), a commercial architecture consultancy incorporated in Delaware, USA, and operating from Malaysia. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms govern use of the Site only. They do not apply to and do not modify any separate written agreement between Loud Lion LLC and a client — including any PharmaScale™ Blueprint engagement — which is governed exclusively by its own signed contract.

1. Who May Use the Site
The Site is intended for business use by adults — including founders, executives, and other professionals evaluating commercial architecture services for pharmaceutical and biotech companies. By using the Site, you confirm that you are at least 18 years old and capable of entering into legally binding arrangements.
2. The Site and What It Offers
The Site provides informational content about Loud Lion LLC's services, including the PharmaScale™ Blueprint, related frameworks, articles, and thought leadership. Through the Site or linked channels, you may also:
• Submit an enquiry through our contact form
• Book a call using our Calendly scheduling link
• Subscribe to our newsletter
• Be directed to the PharmaScale™ Commercial Architecture Diagnostic
The Site does not process payments, sales, or checkout of any kind. Loud Lion LLC's paid engagement, the PharmaScale™ Blueprint, is entered into only through a separate signed services agreement, not through the Site.
3. Intellectual Property
Unless otherwise indicated, all content on the Site — including text, graphics, frameworks, logos, and design — is the property of Loud Lion LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. PharmaScale™, 5Rights WheelTM, StratMap™, PESTLEScbc™, and ESpyMon™ are trademarks of Loud Lion LLC. Other trademarks appearing on the Site belong to their respective owners.
You may view and download Site content for your own personal or internal business reference. You may not reproduce, distribute, modify, publicly display, create derivative works from, sell, or exploit any Site content for commercial purposes without our prior written consent.
4. Testimonials and Results
Testimonials, recommendations, and case studies published on the Site reflect the individual experiences and opinions of the people named. They are not a guarantee, promise, or prediction of results for any other company, and results referenced by any individual are not typical and should not be relied upon as such.
Where the Site references a figure from James Pereira's prior operator career (for example, revenue growth achieved in an employed role at a previous company), that figure describes James's personal operator experience, not a measured outcome achieved by a Loud Lion LLC client, and should not be interpreted as a Blueprint result or a promise of similar performance for any visitor's company.
Any guarantee referenced in connection with the PharmaScale™ Blueprint applies only to clients under a signed Blueprint services agreement, on the specific terms set out in that agreement, and is not a general offer made through the Site.
5. The Diagnostic / Scorecard
The PharmaScale™ Commercial Architecture Diagnostic (also referred to as the Commercial Scale Readiness Scorecard) is a free self-assessment tool provided for general informational purposes. It is not a commercial audit, due diligence exercise, consulting deliverable, or professional recommendation, and does not create any obligation on the part of you or Loud Lion LLC. Results are based solely on the answers you provide and should not be treated as a comprehensive evaluation of your company.
6. No Professional Advice
Content on the Site — including articles, frameworks, newsletters, and the Diagnostic — is provided for general informational purposes only and does not constitute legal, financial, tax, regulatory, medical, clinical, or other professional advice. You should not act, or refrain from acting, on the basis of any content on the Site without seeking independent professional advice tailored to your specific circumstances.
7. Acceptable Use
When using the Site, you agree not to:
• Use the Site for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorised access to the Site, its systems, or related networks
• Introduce viruses, malware, or other harmful code
• Scrape, harvest, or systematically extract content or data from the Site without our written permission
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity, when submitting a form or booking a call
• Interfere with or disrupt the Site's operation or security
8. Third-Party Links and Services
The Site may link to or embed third-party services, including Calendly for scheduling and LinkedIn for the Diagnostic. These third parties operate under their own terms and privacy policies, independent of Loud Lion LLC, and we are not responsible for their content, availability, or practices. Your use of any third-party service is at your own discretion and risk.
9. Disclaimer of Warranties
The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
To the fullest extent permitted by law, Loud Lion LLC and its owners, officers, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Site, even if advised of the possibility of such damages.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Loud Lion LLC and its owners, officers, contractors, and representatives from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or your violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
If a dispute arises out of or relates to your use of the Site, the parties agree to first attempt to resolve it through good-faith negotiation between senior representatives. If unresolved within a reasonable period, the parties agree to attempt mediation before pursuing arbitration. Any dispute not resolved through negotiation or mediation will be finally settled by binding arbitration administered by the American Arbitration Association, before a single arbitrator, conducted remotely.
This dispute resolution process applies to disputes concerning use of the Site itself. Disputes arising under a separate signed client agreement (such as a PharmaScale™ Blueprint services agreement) are governed by the dispute resolution terms in that agreement.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, the Site, or for legal or operational reasons. The "Effective date" at the top of these Terms indicates when they were last revised. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
14. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Loud Lion LLC regarding use of the Site.
